Job Purpose & Scope The role is expected to implement all the necessary actions to ensure achievement of the said objectives. The position will ensure that the behaviour in the organisation meets the company’s standard of governance.

The successful candidate will effectively ensure conformity and minimize probability of exposure to reputational and legal issues to the Company. A person of high integrity, an ardent team player, with demonstrable pioneering skills and all-round familiarity with business operations including Regulations, in addition to other business areas.

Principal Accountabilities 

LEGAL • Draft, review and solidify agreements, contracts, and other legal documents to ensure the protection of the company’s full legal rights.

• Give accurate and timely counsel to Management in a variety of legal topics and new legislation (labour law, tax laws, partnerships, commercial transactions, corporate finance etc.)

• To prepare and/or provide support in the preparation of reporting to the Board of Directors, the Audit, Risk & Compliance Committee as required.

• Regularly review, monitor compliance with and provide attestation to Group Governance Policies and Manuals

• Communicate and negotiate with external parties (Regulators, External Counsel, Public authorities etc.), creating relations of trust.

• Apply effective risk management techniques and offer proactive advice on possible legal issues, complex matters with multiple stakeholders and forces.

• Maintain current knowledge of alterations in legislation

• Provide clarification on legal language or specifications to everyone in the organization.

• Collaborate with management to devise efficient defense strategies on existing and emerging issues.

• Co-ordinate and support the management of relationships with external legal counsel, the Company secretary, and other Consultants.

• Maintaining proper company records and legal documentation on the online shared folder.

COMPLIANCE MONITORING 

• Oversight responsibility as discharging accountability and compliance requirements with the Group Compliance Policy, Anti- Money Laundering and Sanctions Policy and Anti- Bribery and Corruption Policies, etc.

• Evaluating compliance with internal policies and procedures set by Management and the Board of Directors.

• Support Management with the implementation and development of guidelines on the Company's and Group Code of Conduct, Anti-Fraud Policy, Security, and safety policy which sets out the minimum requirements to be followed for physical security and business travel security.

RISK MANAGEMENT 

• To support the implementation of Risk policies, standards and procedures, as appropriate.

• Monthly reporting on risk identification with department risk champions and Heads of Department to the Line Manager.

• To Research and evaluate different risk factors regarding business decisions and operations by examining promotional content, products, etc.

• To support line Management in preparation of an Annual plan with specific focus on addressing/managing risks.

CORE COMPETENCIES REQUIRED 

• Bachelor’s degree in law/ Business Administration/ Post-Graduate Diploma Award from the Institute of Chartered Secretaries and Administrators.

• Proven experience of at least 2 years in a fast-paced business environment will be considered an advantage.

• Excellent knowledge and understanding of corporate law and procedures.

• General knowledge and understanding of insurance, as well as legislation, rules and regulations impacting the insurance industry desirable though not a must.

• Full comprehension of the influences of the external environment of a Corporation.

• Demonstrated ability to create legal and commercially defensive or proactive strategies.

• Sound judgement and ability to analyze situations and information on short notice.

• Demonstrable ability to communicate effectively, verbally and in writing, to clearly express logically reasoned ideas.

• Capacity to establish and build strong relationships with both internal and external stakeholders.

• High degree of professional ethics and integrity.
