he Uganda National Oil Company Limited (UNOC) was established under the Petroleum (Exploration, Development and Production) Act, 2013 and the Petroleum (Refining, Conversion, Transmission and Midstream storage) Act, 2013 and incorporated under the Company’s Act 2012. It is a limited liability company wholly owned by the Government of Uganda.

The overall function of UNOC is to handle the State’s Commercial interests in the Oil and Gas industry and ensure that the resource is exploited in a sustainable manner. UNOC now invites applications for persons interested to develop their career with a dynamic results-oriented Company to occupy the following position:

JOB TITLE: Senior Legal officer -Compliance

REPORTS TO:Head of Contracts and Negotiations


The legal Officer is responsible for handling day to day legal and regulatory compliance responsibilities pertaining to UNOC and its subsidiaries, drafting of relevant policies and supporting management of Company compliance matters.

Essential Duties;

a)Ensure that UNOC’s internal policies and procedures are appropriately implemented by UNOC and its subsidiaries.

b)Support and coordinate the monitoring of legal and regulatory developments within Uganda and globally that may impact the regulatory landscape of UNOC and its businesses and ensure these are effectively communicated to relevant business.

c)To be actively involved in defining and drafting of a legal,regulatory and internal policies an annual compliance plan for Uganda National Oil Company and its subsidiaries.

d)Supporting and participating in initiatives and processes to create awareness across the UNOC business on legal, regulatory and internal policies compliance requirements.

e)As required, interpret, provide advice and guidance on legal and regulatory compliance matters to UNOCand its subsidiaries.

f)Coordinate the drawing up of formalities to monitor and assure Legal and regulatory compliance and to internal policies and procedures.

g)Develop the necessary compliance trackers to drive and ensure compliance by UNOC to Legal, regulatory and internal policies requirements as deemed necessary.

h)Coordinate and ensure all necessary submissions to regulators are made in a timely fashion in accordance with the applicable laws and regulations.

i)As and when required, liaise with the industry regulators to ensure a coordinated working approach between UNOC and the respective regulators of its business including securing requisite approvals and project authorisations.

j)To conduct legal and regulatory analysis and research on various compliance matters.

k)File all necessary documentation for compliance of the company and advise across the company on the legal effects of any government policy proposals and bills of parliament that may have a bearing on the UNOC business.

l)Liaise with other departments and stake holders and develop, manage and review company policies and manuals among others and as appropriate, contribute to or influence company policies.

m)Compile and maintain regulatory documentation databases including applicable laws,regulations and ensure these are kept updated at all times.

n)Recommend changes to company policies and procedures in response to changes in regulations, lawsa nd best legal practices

o)Perform any other duties as may be assigned from time to time by the supervisor.

Qualifications and attributes;

a)A bachelor’s degree in Law (LLB)

b)A diploma in legal practice

c)A master’s in law in a relevant discipline such as in Oil and Gas, Project Financing, Corporate Law will be an added advantage

d)The candidate must have at least7(seven) years’ experience in a busy corporate entity of high repute.

e)Experience in dealing with complex transactions in a large corporate entity is relevant.

f)Demonstrated experience in dealing with regulatory, legal and contractual compliance aspects of complex transactions in a large corporate entity.

g)The candidate must have excellent analytical, researching and drafting skills.

h)Excellent judgment and ability to anticipate legal issues or risks.

i)Strong interpersonal and communication skills and the ability to take good decisions based on judgment are absolutely essential.

j)High level of integrity, proven track record of outstanding performance,and ability to work under pressure as part of a team.

k)Excellent interpersonal skills particularly to management/staff relations

l)Excellent oral and written communication skills
