Job Summary
We are seeking a highly organized and detail-oriented Company Secretary to join our dynamic Tours and Travel company. The ideal candidate will play a crucial role in ensuring the company complies with statutory and regulatory requirements, maintains high standards of corporate governance, and supports the Board of Directors in executing their strategic vision.
Key Responsibilities
Statutory Compliance and Governance
- Ensure compliance with corporate laws, regulations, and governance best practices.
- Maintain statutory books, including registers of members, directors, and secretaries.
- Prepare and file annual returns and other statutory filings with the Registrar of Companies.
- Advise the Board on corporate governance and regulatory updates.
Board Support
- Organize and coordinate board meetings, including preparation of agendas, notices, and meeting minutes.
- Provide guidance to the Board on their roles, responsibilities, and liabilities.
- Draft and circulate resolutions and ensure timely execution.
Legal and Financial Oversight
- Ensure the company complies with all applicable financial and legal requirements, including liaising with auditors, lawyers, and other stakeholders.
- Assist in the preparation of annual reports and financial disclosures.
Operational Support
- Support the senior management team with strategic planning and decision-making.
- Oversee insurance policies, licenses, and other operational certifications specific to the Tours and Travel industry.
- Assist in the drafting, review, and management of travel-related contracts and agreements.
Risk Management
- Identify and mitigate risks associated with company operations, especially within the Tours and Travel domain.
- Ensure compliance with industry-specific regulations, such as licensing and consumer protection laws.
Qualifications and Experience
- Education: Bachelor’s degree in Commerce, Law, or Business Administration. A professional qualification in the Secretarial field is a plus.
- Experience: Minimum 2-5 years of experience as a Company Secretary, preferably in the Travel, Hospitality, or Service sector.
- Strong knowledge of corporate laws, governance practices, and travel industry regulations.
Skills and Competencies
- Excellent organizational and time management skills.
- Strong communication and interpersonal abilities.
- Attention to detail and a high level of integrity.
- Proficiency in legal and compliance software/tools.
- Knowledge of the Tours and Travel industry trends is a plus.
